Group General Counsel Cambridge, UK (Hybrid, 3 days onsite) The Opportunity This is an opportunity to join Cycle Pharmaceuticals as Group General Counsel, a pivotal leadership role at the heart of our dynamic growing business. Reporting directly to the CEO and serving as a trusted advisor to the Executive Team, CFO and Board, you will be responsible for overseeing all legal, governance and compliance matters across the organisation. Operating at the intersection of law, strategy, and risk, this role requires a commercially astute legal professional. Prior pharmaceutical industry experience is preferred, but not essential. You’ll lead on key strategic transactions, shape policy, mitigate risk, and help drive Cycle’s continued growth in the UK and USA. Cycle entered a revolving credit facility in April 2025 with Barclays and HSBC. What You’ll Do

• Serve as principal legal adviser to the CEO, CFO, Board, and senior leadership team. • Lead on all legal and governance matters across the company’s UK and US operations. • Ensure company-wide compliance with applicable laws, including pharmaceutical

codes, data privacy, and anti-bribery regulations. • Partner with the CFO and CEO to support financing and investment strategy, including

Board governance, corporate structuring, and equity-related decision-making. • Advise on commercial and strategic transactions, including partnerships, licensing,

supply, and distribution agreements. • Lead legal input into M&A and expansion initiatives. • Manage relationships with external legal counsel and ensure cost-effective, high-quality

legal support. • Shape internal policies, support risk management, and drive continuous improvement

across legal operations. • Provide guidance on corporate governance, including Board matters and shareholder

relations.

• Be an active and visible member of the Executive Team, contributing to strategic planning and decision-making.

• Oversee legal aspects of equity management, including share allocation and employee share option plans.

• Lead an internal team of UK and US lawyers. Skills and experience required

• Qualified solicitor in the UK with significant PQE. • In-house leadership experience in fast-changing, dynamic environments. • Experience in life sciences or healthcare is preferred but not required. • Experience navigating UK and US regulatory landscapes, ideally with working knowledge

of US pharma compliance, contracts, and corporate law, preferred but not essential. • US legal qualification (member of a US state bar) is a strong plus but not essential. • Expertise in corporate law, commercial contracts, and governance. • Familiarity with investment strategy, equity schemes, and shareholder management. • Strong communicator with sound judgement and a practical, commercial approach. • Ability to effectively lead a multinational team including legal and compliance functions. • Proven ability to influence senior stakeholders and manage legal risk proactively. • Comfortable in high-growth environments where you can shape and scale functions. • Committed to Cycle’s mission and values, with a hands-on approach and team mindset.
